Terms of Service

These Terms of Service (the “Terms”) govern access to and use of Axis, a hosted real-estate dashboard and related software and services (the “Service”) provided by AxisAgent LLC (“AxisAgent,” “we,” “us”). By accessing or using the Service, you (the “Client”) agree to these Terms. If you are entering into these Terms on behalf of a brokerage, you represent that you are authorized to bind that brokerage.

1. The Service & License

Subject to these Terms, AxisAgent grants the Client a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term, solely for the Client’s own internal business operations and only by its authorized users. The Service is hosted; no copy of the underlying software is sold, delivered, or licensed for installation.

2. Restrictions

The Client shall not, and shall not permit any third party to: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or attempt to derive the source code, prompts, models, or underlying ideas of the Service; (c) sell, resell, rent, sublicense, or otherwise make the Service available to any third party; (d) use the Service to build or assist a competing product; (e) scrape or extract data or software except the Client’s own data through provided features; or (f) use the Service in violation of applicable law or any third-party rights, including MLS rules.

3. Ownership

AxisAgent owns and retains all right, title, and interest in and to the Service, including all software, designs, algorithms, models, know-how, and all intellectual property rights therein. No rights are granted except as expressly stated. The Client retains all right, title, and interest in and to its own data (“Client Data”).

4. Client Data & MLS Data

The Client grants AxisAgent a limited license to host, process, and display Client Data solely to provide the Service. The Client is solely responsible for its and its users’ authority to use any data provided to the Service — including maintaining any required MLS membership, broker authorization, and data-license rights — and for using the Service in compliance with applicable MLS rules. AxisAgent handles MLS-sourced data in accordance with the applicable MLS agreement.

5. AI Features; No Professional Advice; Client Responsibility

(a) AI & automated features. The Service uses artificial intelligence, machine learning, large language models, and automated agents (“bots”) to generate content, drafts, images, video, analyses, and recommendations, and to perform automated tasks (collectively, “AI Outputs”). AI Outputs are produced by probabilistic systems and may be inaccurate, incomplete, outdated, biased, or entirely incorrect — including information that is confidently stated but false — and may not reflect current market, legal, or property conditions. AI Outputs are provided for the Client’s internal convenience and review only.

(b) Not professional advice. AI Outputs are not, and must not be relied upon as, legal, financial, tax, appraisal, investment, or professional real-estate advice, and do not replace the Client’s broker, attorney, accountant, other qualified professional, or the Client’s own professional judgment.

(c) Human review required. The Client is solely responsible for reviewing, verifying, editing, and approving all AI Outputs — including property facts, calculations, communications, and documents — before they are used, published, sent, relied upon, or acted upon. No AI Output should be published, delivered to any client or third party, or relied upon for any decision without human review by the Client.

(d) Automation authorization. The Client determines and authorizes which actions the Service’s automated agents may perform, and with what limits. Consequential actions — such as sending messages, changing or publishing listings, submitting documents, or making financial commitments — require the Client’s explicit review and approval, and any standing automation requires the Client’s affirmative opt-in and may be stopped at any time.

(e) Client responsibility & compliance. The Client accepts responsibility for its use of the Service and all AI Outputs, including verifying accuracy; ensuring all content, marketing, listings, and communications comply with all applicable laws and rules — including fair-housing, advertising, consumer-protection, intellectual-property, MLS, and real-estate licensing rules; obtaining any rights or consents necessary for materials and images it provides or publishes; and all decisions and actions it takes based on the Service.

(f) No liability for AI Outputs. To the maximum extent permitted by law, AxisAgent is not responsible or liable for any errors, inaccuracies, omissions, or outcomes in or arising from AI Outputs or automated actions, or for any loss or damage resulting from the Client’s use of, reliance on, publication of, or decisions based on the Service or any AI Output. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

6. Third-Party Services

The Service depends on third-party services and providers, including AI and model providers, MLS data feeds, CRM, communications, and hosting providers. AxisAgent does not control and is not responsible for the availability, accuracy, performance, security, or changes of any third-party service, and such services may be modified, interrupted, or discontinued.

7. Fees

The Client will pay the subscription fees set forth in the applicable order or as otherwise agreed in writing. Unless otherwise stated, fees are billed monthly in advance, are non-refundable, and are due within fifteen (15) days of invoice. AxisAgent may suspend the Service for non-payment after reasonable notice.

8. Term & Termination

These Terms continue on a month-to-month basis until terminated. Either party may terminate for convenience on thirty (30) days’ written notice, or immediately for the other party’s uncured material breach. Upon termination, the Client’s access ends and AxisAgent will make Client Data available for export for thirty (30) days, after which it may be deleted.

9. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” AND AXISAGENT DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. EACH PARTY’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE FEES PAID BY THE CLIENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

11. Indemnification

The Client will defend and indemnify AxisAgent against third-party claims arising from Client Data; the Client’s use of the Service or any AI Output in violation of these Terms or applicable law; any content, marketing, listing, image, or communication the Client generates, publishes, sends, or relies upon through the Service; or the Client’s breach of MLS, fair-housing, advertising, intellectual-property, or other third-party or regulatory rights.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, and the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida. Nothing here limits any non-waivable right available to the Client under the laws of its home jurisdiction.

13. Changes & Contact
